CMA Clearance Decision
20 June 2023: The CMA has cleared the completed acquisition by HSH Cold Stores Limited, part of Constellation Cold Logistics, of Associated Cold Stores & Transport Limited. The full text of the clearance decision will be published in due course.
Revocation of initial enforcement order
23 May 2023: The CMA has revoked the initial enforcement order imposed on 17 March 2023 in relation to the completed merger between HSH Cold Stores Limited, a subsidiary of HSH Midco Limited, which is owned and/or managed by Arcus European Investment Manager LLP, AEIF 2 GP S.r.l, Arcus European Investment Manager Netherlands B.V., Arcus European Infrastructure Fund 2 SCSp, AEIF 2 Luxembourg Holdings S.r.l, AEIF 2 LH Sub 03 S.r.l, Constellation Cold Logistics S.r.l, Constellation Cold Logistics United Kingdom S.r.l, and Associated Cold Stores & Transport Limited. The Revocation Order was issued under section 72(4) of the Enterprise Act 2022 and is without prejudice to the CMAs ongoing investigations into the acquisitions.

Invitation to comment: closed on 15 May 2023
27 April 2023: The Competition and Markets Authority (CMA) is considering whether it is or may be the case that this transaction, if carried into effect, will result in the creation of a relevant merger situation under the merger provisions of the Enterprise Act 2002 and, if so, whether the creation of that situation may be expected to result in a substantial lessening of competition within any market or markets in the United Kingdom for goods or services.
To assist it with this assessment, the CMA invites comments on the transaction from any interested party.
These comments should be provided by the deadline above.
Directions to appoint a monitoring trustee
24 March 2023: Pursuant to the initial enforcement order dated 17 March 2023, the CMA directed Arcus European Investment Manager LLP, AEIF 2 GP S.r.l, Arcus European Investment Manager Netherlands B.V., Arcus European Infrastructure Fund 2 SCSp, AEIF 2 Luxembourg Holdings S.r.l, AEIF 2 LH Sub 03 S.r.l, Constellation Cold Logistics S.r.l, Constellation Cold Logistics United Kingdom S.r.l, and their subsidiaries, HSH Midco Limited, HSH Cold Stores Limited, and Associated Cold Stores & Transport Limited to appoint a monitoring trustee.
